Public Company Services Group

As a member of the Center for Public Company Audit Firms of the American Institute of Certified Public Accountants, Cowan, Gunteski & Co., P.A. understands the challenges that corporate executives, their board of directors and audit committees face, as well as the risks. Our firm is registered with the Public Company Accounting Oversight Board (PCAOB) and serves as an outside auditor for publicly owned companies in a wide range of industries. We are also a member of the Center for Audit Quality (CAQ).

The Sarbanes-Oxley (SOX) Act of 2002 mandates that executives, their board of directors and audit committees are financially responsible and accountable to both the company and its investors. Our extensive experience working with SEC registrants will insure that you are in compliance with auditing and reporting regulations, SEC filing and reporting requirements, as well as corporate governance practices. As your auditor we can provide:

  • Annual audits of your financial statements
  • Assistance with an initial public offering (IPO) and subsequent securities registrations
  • Advice on mergers and acquisitions, including pro forma financial statements and due diligence
  • Pension plan audits in accordance with both ERISA and SEC regulations
  • Preparation and filing of corporate federal and state tax returns, tax planning and compliance

SOX also requires that your auditor is independent which precludes them from providing consulting services to attest clients. Cowan, Gunteski & Co. can provide non-audit clients with a full range of services, including:

  • Documentation, review and testing of internal controls
  • Evaluation and development of polices designed to prevent fraud
  • Compliance assessments

The Tax Management and Consulting Team at Cowan, Gunteski & Co., P.A. can provide you with expertise in all federal and state tax laws, superior technical and analytical skills, and responsive value-added tax consulting advice. The implementation of PCAOB Rule 3523 by the Securities and Exchange Commission eliminated the ability of audit firms to prepare individual tax returns or provide estate, gift, and any other personal tax planning services to corporate executives of clients who are involved in the company's financial reporting oversight role. You can comply with this rule by transitioning your personal tax work to our Firm. Our goal is to position you or your company to take advantage of all legitimate strategies to minimize your tax obligation.

Cowan, Gunteski & Co. will deliver consistent exceptional service and value beyond accounting as your auditor, tax advisor or profitability consultant. We are a member of CPAmerica, International, Inc. the sixth largest accounting association in the world. This membership gives you the benefit of working with a local team of highly trained and knowledgeable experts backed by the resources of the “Big 4” and large regional firms. Cowan, Gunteski & Co. can provide powerful solutions to meet all of your accounting, audit, tax or consulting needs, without costly overhead and bureaucracy. We will pass that savings on to you.
